These terms govern your use of this website. They are not a services agreement: any engagement between you and Stag Atlas is governed by a separate written contract, and nothing here creates one.

1. Who these terms are with

This site is operated by Stag Atlas ([[REGISTERED ENTITY NAME]], registered in [[JURISDICTION]], registered address [[POSTAL ADDRESS]]) — "Stag Atlas", "we", "us". "You" means anyone who accesses this site. By accessing it you accept these terms. If you do not accept them, do not use the site.

2. What this site is

Stag Atlas acts as an intermediary and broker in the defence and critical-infrastructure sector. This website is an informational and contact channel only. Nothing on it is:

an offer to sell, or a solicitation of an offer to buy, any goods, technology, service or security;
a representation that any particular item, capability or supplier is available to you, or lawfully transferable to you;
legal, regulatory, export-control, financial, investment or technical advice;
a commitment to enter into, continue or conclude any transaction.

We may decline any enquiry, at our sole discretion, without giving reasons.

3. Eligibility

You may use this site only if you are at least 18 years old and legally able to enter into binding agreements. If you use it on behalf of an organisation, you represent that you are authorised to bind that organisation to these terms, and "you" includes it.

4. Contacting us

No field on the contact form is required. You choose what to disclose. In return, you agree that:

anything you submit is accurate to the best of your knowledge, and you will not impersonate any person or organisation;
you have the right to send us whatever you send;
submissions are not confidential and create no confidentiality obligation, no fiduciary duty and no agency, partnership or joint-venture relationship. If you need confidentiality, ask for a non-disclosure agreement before sending anything sensitive — do not use this form for it;
we may store your submission and the technical record of the connection it arrived on, and act on it, as described in the Privacy Policy;
we are under no obligation to reply, and a reply is not acceptance of any offer.

5. Export control, sanctions and restricted information

Do not send classified, export-controlled or otherwise restricted information through this website. That includes anything classified under any national security classification scheme, anything controlled under the ITAR, the US Export Administration Regulations, the EU dual-use regulation, the UK Strategic Export Control Lists, the Wassenaar Arrangement or any equivalent regime, and anything subject to a technical-data control, a security clearance requirement or a third-party non-disclosure obligation.

This is a public web form. It is not an approved channel for controlled technical data and must never be treated as one. Sending such material here may itself constitute an unauthorised export or disclosure — by you.

You further represent and warrant that you are not, and are not acting for or on behalf of, any person or entity that is:

designated on any applicable sanctions list, including the US OFAC Specially Designated Nationals and Blocked Persons List, the EU Consolidated List, the UK Sanctions List or the UN Consolidated List;
owned or controlled, directly or indirectly, by any such designated person or entity;
located in, organised under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions;
subject to a debarment, denial or exclusion order under any applicable export-control or defence-procurement regime.

You agree not to use this site, or anything obtained through it, in breach of any applicable export-control, sanctions, anti-corruption, anti-money-laundering or defence-trade law. We conduct screening and due-diligence appropriate to our sector, and we may decline, suspend or terminate any contact on that basis without explanation. We may report to the relevant authorities where the law requires.

6. Acceptable use

You must not:

attempt to gain unauthorised access to any part of this site, its infrastructure or its database, including the password-protected area;
probe, scan or test the vulnerability of the site, or breach or circumvent any security or authentication measure, except under a written authorisation from us;
use the site to transmit malware, or to introduce anything designed to interrupt, damage or limit the functioning of any software or hardware;
conduct any denial-of-service attack, or impose an unreasonable load on the infrastructure;
scrape, harvest or systematically extract content, or use automated means to interact with the site other than well-behaved search-engine crawlers;
send spam, chain communications or bulk unsolicited material through the contact form;
use the site for any unlawful purpose, or in furtherance of any unlawful transfer of goods, technology or services.

We log access to the private area and rate-limit repeated failed attempts. Unauthorised access attempts may be reported.

7. Availability

We provide this site on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, timely, error-free or secure, and we may modify, suspend or discontinue any part of it at any time without notice.

8. Accuracy

We take reasonable care with the content of this site but make no warranty that it is complete, current or accurate. Nothing here should be relied upon as the basis for any decision, commercial or otherwise, without independent verification and, where relevant, your own regulatory and legal advice.

9. Intellectual property

The content of this site — including its text, layout, design, code, the Stag Atlas name and the Stag Atlas mark — belongs to Stag Atlas or its licensors and is protected by intellectual property law. You may view and print pages for your own internal business use. You may not otherwise copy, reproduce, republish, adapt, distribute or commercially exploit any part of it without our prior written consent.

Any feedback or suggestion you send us about the site may be used by us freely and without obligation or compensation to you.

10. Third-party links

Where we link to a third-party site, we do so for convenience. We do not control it, do not endorse it and are not responsible for its content or its handling of your data.

11. Monitoring

As set out in the Privacy Policy, this site records detailed technical information about every device that loads it, including a device fingerprint, and stores it against your submissions. Your use of the site is on that basis. Where your jurisdiction requires consent before that collection, the site asks first and takes nothing until you agree.

12. Disclaimer of warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, in relation to this site and its content.

13. Limitation of liability

To the fullest extent permitted by law, Stag Atlas will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, contracts or data, arising out of or in connection with your use of this site, however caused and on any theory of liability. Our total aggregate liability arising out of or in connection with this site is limited to one hundred euros (€100).

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. If you are a consumer, your statutory rights are unaffected.

14. Indemnity

You agree to indemnify and hold Stag Atlas harmless against any claim, loss, liability, penalty or reasonable expense (including legal fees) arising from your breach of these terms, your misuse of this site, or your submission of any material in breach of section 5.

15. Governing law and jurisdiction

These terms, and any dispute arising out of or in connection with them or with your use of this site, are governed by the laws of [[GOVERNING LAW JURISDICTION]], without regard to its conflict-of-laws rules. The courts of [[FORUM]] have exclusive jurisdiction, except that we may seek injunctive relief in any competent court. If you are a consumer resident in the EEA or the UK, this clause does not deprive you of the protection of the mandatory law of your country of residence.

16. General

If any provision of these terms is held unenforceable, the remainder continues in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, constitute the entire agreement between us in relation to your use of this site. You may not assign your rights under them; we may assign ours on a transfer of the business.

17. Changes

We may amend these terms at any time by posting the amended version here with a new date. Continued use of the site after that constitutes acceptance.
